Be it known, that the further of this material states your agreement to hold all proprietary information confidential. Privileged Information: It is expressly acknowledged that CS has long standing ties to the building stone markets in the US and that its reputation and customer loyalties are of great value to CS. The pricing in this agreement will give Dealers a preferential pricing level over some other customers, and will be responsible to keep the terms of this agreement strictly confidential. CornerStone Select™, products names, affiliations, logo and official branding of its product associating it specifically with CornerStone is of value. Please make every professional effort to preserve and protect this brand value in how it is marketed, sold and handled at all levels of the supply chain to maximize this value in any way possible.
Privileged Rights: CS is granted privileged rights to you and its dealer affiliates as designated wholesaler of the CornerStone Select™ product into the designated channel area represented. As privileged representation of certain CS products, for the term of the agreement, CS also agrees not to represent, or sell a product that would specifically compete with you in this designated marketing channel. Although it is the underlying intent that this representation will be mutually beneficial to Dealers and CS, and that it is “performance” based with the goal of greatly increasing sales and Dealer Profits all best business, sales and marketing practices and efforts shall be made in an effort to support dealer sales.
